1. Introduction

This Licence Agreement (“Agreement”) is a legal contract between you (“Customer”, “you”, “your”) and Hagen Automation Ltd, a company registered in England and Wales (“Hagen Automation”, “we”, “us”, “our”), governing your use of the RoboVigil software, mobile applications, web applications, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.

If you are entering into this Agreement on behalf of a company or other organisation, you represent that you have the authority to bind that organisation to these terms.

2. Definitions

  • “Service” means the RoboVigil software platform, including all mobile applications, web applications, APIs, and related services.
  • “Content” means all data, information, text, images, video, and other materials uploaded to, transmitted through, or generated by the Service.
  • “Customer Data” means all data you upload to or transmit through the Service, including machine data, camera feeds, configuration settings, and user information.
  • “Subscription” means your paid access to the Service under a subscription plan.

3. Licence Grant

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your Subscription period.

You may not:

  • Sublicense, sell, resell, transfer, or distribute the Service to any third party
  • Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to develop a competing product or service
  • Remove, alter, or obscure any proprietary notices on the Service
  • Use the Service in any manner that violates applicable laws or regulations
  • Attempt to gain unauthorised access to the Service or its related systems

4. Subscription and Payment

4.1 Fees

You agree to pay all fees associated with your chosen Subscription plan. Fees are charged in advance on a monthly or annual basis as specified in your plan.

4.2 Payment Processing

Payments are processed by Stripe. By providing payment information, you authorise us to charge your payment method for all fees due.

4.3 Price Changes

We may change our fees upon 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new fees.

4.4 Non-Payment

If payment fails or is overdue, we may suspend or terminate your access to the Service. You remain liable for all outstanding fees.

5. Customer Data and Responsibilities

5.1 Ownership

You retain all rights to your Customer Data. We claim no ownership of any Customer Data you upload or transmit through the Service.

5.2 Licence to Customer Data

You grant us a limited licence to store, process, and transmit your Customer Data solely to provide and improve the Service.

5.3 Your Responsibilities

You are solely responsible for:

  • The accuracy, quality, and legality of your Customer Data
  • Ensuring you have all necessary rights and permissions to use the Service with your equipment and data
  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Ensuring your use of the Service complies with all applicable laws, regulations, and industry standards
  • The proper installation, configuration, and maintenance of any hardware, software, or network infrastructure required to use the Service
  • Obtaining all necessary consents from individuals who may be captured by cameras connected to the Service

5.4 Prohibited Content

You must not upload or transmit any content that:

  • Violates any applicable law or regulation
  • Infringes the intellectual property rights of any third party
  • Contains malicious code, viruses, or harmful components
  • Is defamatory, obscene, or otherwise objectionable

6. Intellectual Property

6.1 Our Rights

The Service, including all software, designs, text, graphics, logos, and other materials, is owned by Hagen Automation and is protected by copyright, trademark, and other intellectual property laws. Nothing in this Agreement transfers any ownership rights to you.

6.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without compensation to you.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR INFORMATION PROVIDED THROUGH THE SERVICE
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES THAT ANY DEFECTS WILL BE CORRECTED

THE SERVICE IS A MONITORING AND INFORMATION TOOL ONLY. IT IS NOT DESIGNED OR INTENDED TO BE USED AS A SAFETY SYSTEM, EMERGENCY ALERT SYSTEM, OR PRIMARY CONTROL SYSTEM FOR INDUSTRIAL EQUIPMENT.

YOU ACKNOWLEDGE THAT:

  • The Service depends on internet connectivity, third-party services, and other factors outside our control
  • Delays, interruptions, or failures in data transmission may occur
  • The Service should not be relied upon as the sole means of monitoring critical equipment or processes
  • You are solely responsible for implementing appropriate safety systems, backup monitoring, and fail-safes for your equipment

8. Limitation of Liability

8.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAGEN AUTOMATION, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS
  • LOSS OF DATA OR DATA CORRUPTION
  • LOSS OF USE OF EQUIPMENT OR SYSTEMS
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
  • BUSINESS INTERRUPTION OR DOWNTIME
  • DAMAGE TO EQUIPMENT, MACHINERY, OR PROPERTY
  • PERSONAL INJURY OR DEATH
  • ANY DAMAGES ARISING FROM YOUR RELIANCE ON THE SERVICE

THESE EXCLUSIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

8.3 Essential Purpose

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT AND THAT THE FEES CHARGED REFLECT THIS ALLOCATION OF RISK. WITHOUT THESE LIMITATIONS, THE FEES WOULD BE SUBSTANTIALLY HIGHER.

8.4 Statutory Rights

Nothing in this Agreement excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited under applicable law

9. Indemnification

You agree to indemnify, defend, and hold harmless Hagen Automation, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service
  • Your breach of this Agreement
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • Your Customer Data
  • Any claim by a third party relating to your equipment, premises, or operations

10. Service Availability and Modifications

10.1 Availability

We will use reasonable efforts to maintain the availability of the Service, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, technical issues, or factors beyond our control.

10.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Term and Termination

11.1 Term

This Agreement commences when you create an account and continues until terminated.

11.2 Termination by You

You may terminate your Subscription at any time through your account settings or by contacting us. Termination takes effect at the end of your current billing period. No refunds are provided for partial periods.

11.3 Termination by Us

We may suspend or terminate your access to the Service immediately and without notice if:

  • You breach any provision of this Agreement
  • You fail to pay fees when due
  • We are required to do so by law
  • We discontinue the Service

11.4 Effect of Termination

Upon termination:

  • Your licence to use the Service ends immediately
  • You must cease all use of the Service
  • We may delete your Customer Data after 60 days
  • Sections of this Agreement that by their nature should survive termination shall survive, including Sections 6, 7, 8, 9, and 13

12. Data Protection

Our collection and use of personal data is governed by our Privacy Policy at https://robovigil.com/privacy-policy/, which forms part of this Agreement.

13. General Provisions

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

13.2 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement.

13.3 Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Hagen Automation regarding the Service and supersedes all prior agreements and understandings.

13.4 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.5 Waiver

Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

13.6 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement without restriction.

13.7 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under this Agreement due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of government, power failures, internet or telecommunications failures, or equipment failures.

13.8 Notices

We may provide notices to you via email to the address associated with your account or through the Service. You may provide notices to us at info@hagenautomation.com.

13.9 No Third-Party Beneficiaries

This Agreement does not create any third-party beneficiary rights.
